install the service for mysql5 with the name for example
MySQL5

mysqld-nt --install MySQL5

In my.ini use bind = ip_for_mysql5

but you'll have to say the mysql5 server to read a diferent my.ini

for example, put the my.ini in the data directory

Perfect. The servers are installed in two different directories so the
my.ini files shouldn't conflict.
