Multiprocessor and RAM use on Windows Server 2003

We're purchasing a new database server to run MySQL 5.0.x. Will MySQL
utilize more than one processor on a multiprocessor Windows system?

With the 64bit version of the operating system, will it utilize more than
4GB of memory?
