VS 2005 upgrade issue

I've upgraded from VS 2003 to VS 2005. I can run VS 2003 and VS 2005 side by
side with one problem. With VS 2003, the Office XP EULA now pops up and I
have to accept it or VS 2003 will shut down. Prior to installing VS 2005, I
never got the EULA when running VS 2003. I dont get the EULA with VS 2005.
It appears that the 2005 upgrade and subsequent automatic updates created
this problem.

I've searched and I have found a registry update that may (?!) be what I
need, but it makes me nervous. I don't know if it is the answer to this
problem, and I don't like flying blind. See

I don't use Office XP, not even Word. In my .NET development, I do use rich
text box controls. I am aware of no other dependencies on or relationships
to office, however tenuous they may be.

I've come up with a lot of questions. The two most important are:

1. What do I do to permanently stop the EULA from popping when VS 2003
starts?

2. Why does .NET depend on Office?

Additional info

My best guess is that the EULA pops up once a day. After starting VS 2003,
accepting the EULA, and quitting VS 2003, subsequent starts do not get the
EULA until some time passes - my guess is 1 day.
